PAYMENT TERMS

TradeGuider Systems Ltd requires customers to provide credit card details at the time of ordering. The credit card will be authorized and billed for the full purchase amount using secure online purchasing facilities. We can also accept personal checks, money orders, wire transfers and cashier’s checks.

SUBSCRIPTIONS

Any rental \ lease subscription services relating to software lease, try\buy, VSA club membership are automatically billed on a recurring billing basis. The debit\credt card used at the time of ordering will be billed automatically, to pay ongoing subscriptions.

To cancel a subscription agreement the customer must contact the TradeGuider office by phone on (+1) 877 392-3895 no later than five working days before the date of the next payment to cancel the subscription. Email notication will not be accepted.

MONEY-BACK GUARANTEE

Unless specifically stated, there are no money-back guarantee's on any TradeGuider products.
Where a money-back guarantee is specifically offered, it is offered on the following terms:

The customer must phone the Tradeguider office and get a product cancellation code. Once the code has been issued the payment will be paid back to the credit card used for the transaction within 30 days, less $100 to cover administration and support services during the money-back guarantee period. A cancellation code will be released provided the following have been satisfied:

The customer has phoned within the specified money-back guarantee period
The customer has fully completed the integrated Getting Started Course at the time of phoning
The Customer has attended at least one Online Customer Orientation session at the time of phoning

TRANSFER OF SOFTWARE

If at any time a customer wishes to transfer their software license to a third party, then the customer must inform TradeGuider Systems immediately. On transfer of the software license to the third party, the customer agrees to pay a standard transfer fee to TradeGuider - currently $199, to pay for the transfer administration and also ongoing life-time support of the software for the 3rd party.

LIMITATION OF WARRANTY AND DISCLAIMERS

In no event shall TradeGuider Systems Ltd be liable for any damages whatsoever, and in particular TradeGuider Systems Ltd shall not be liable for special, indirect, consequential, or incidental damages, or damages for lost profits, loss of revenue, or loss of use, arising out of or related to any TradeGuider Systems Ltd Web Site or the information contained in it, whether such damages arise in contract, negligence, tort, under statute, in equity, at law or otherwise. You also understand that TradeGuider Systems Ltd cannot and does not guarantee or warrant that files available for downloading through the Service will be free of infection or viruses, worms, Trojan horses or other code that manifest contaminating or destructive properties. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for accuracy of data input and output, and for maintaining a means external to the web site for the reconstruction of any lost data.

You assume total responsibility and risk for your use of the Web Site and the Internet. TradeGuider Systems Ltd does not make any express or implied warranties, representations or endorsements whatsoever (including without limitation warranties of title or non-infringement, or the implied warranties of merchantability or fitness for a particular purpose) with regard to the Web Site, any merchandise, information or service provided through the Web Site or on the Internet generally, and TradeGuider Systems Ltd shall not be liable for any cost or damage arising either directly or indirectly from any such transaction. It is solely your responsibility to evaluate the accuracy, completeness and usefulness of all opinions, advise, services, merchandise and other information provided through the Web Site or on the Internet generally. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

CONTENT AND LIABILITY DISCLAIMER

TradeGuider Systems Ltd shall not be responsible for any errors or omissions contained at this Web Site, and does not warrant that defects in the web site will be corrected. TradeGuider Systems Ltd reserves the right to make changes without notice and disclaims any responsibility for providing notice of such changes. In addition, TradeGuider Systems Ltd has no liability to make changes to existing product(s) and /or content. TradeGuider Systems Ltd does not warrant that the web site will be uninterrupted. Accordingly, all TradeGuider Systems Ltd and third party information is provided on an "AS IS, AS AVAILABLE" basis without warranties OF ANY KIND.

In no event will TradeGuider Systems Ltd be liable for (1) any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of programs or information, and the like) arising out of the use or of inability to use the web site, or any information, or transactions provided on the web site or downloaded from the web site, even if TradeGuider Systems Ltd or its authorized representatives have been advised of the possibility of such damages, or (2) any claim attributable to errors, omissions, or other inaccuracies in the service and/or materials or information downloaded through the web site.

Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. In such states, TradeGuider Systems Ltd liability is limited to the greatest extent permitted by law.

INDEMNIFICATION

You agree to indemnify, defend and hold harmless TradeGuider Systems Ltd, its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the web site from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of this Agreement or any activity related to your submissions to the web site (including negligent or wrongful conduct).
