The Student undertakes:

To treat all the Information supplied as confidential, regardless of when it is disclosed or obtained and the form in which it is disclosed or obtained;

Not without TradeGuider Systems' prior written consent in each case to communicate or disclose any part of the Confidential Information to any person.

Any activities of leasing, renting, donating or selling the information supplied are prohibited. The content information should not be given to any third parties.

No copying of the Content Information is allowed by any means.

No selling or reselling of the Content Information is allowed by any means.

No distribution of the Content Information is allowed by any means.
The information may only be used by the Student for their own personal benefit.

The Student undertakes to notify TradeGuider Systems promptly of any unauthorized use, copying or disclosure of the Confidential Information of which the Student becomes aware and to provide all reasonable assistance to TradeGuider Systems to terminate such unauthorized use or disclosure.

All material containing the Confidential Information, including but not limited to, magnetic tapes, documents, manuals, specifications, flowcharts, program listings and data file print-outs, CD ROMs and DVDs (the "Proprietary Materials"), shall be and remain the property of TradeGuider Systems and shall not be reproduced in whole or part without TradeGuider Systems' express written consent. Any copies of the Proprietary Materials shall become TradeGuider Systems' property.

Nothing contained in this Non-Disclosure Agreement shall be construed as granting to or conferring to the Student any rights by licence or otherwise, expressly or impliedly, for any invention, discovery or improvement made, conceived or acquired prior to or after the date of this Agreement relating to the Confidential Information.

Upon the first to occur of:

Material breach of any of the terms of this Non-Disclosure Agreement; and

The written demand of TradeGuider Systems;

the Student shall promptly deliver up to TradeGuider Systems all Proprietary Materials incorporating any Confidential Information and all copies thereof and destroy or erase any Confidential Information contained in any Proprietary Materials prepared by or on behalf of the Student or recorded in any electronic memory or data storage device. Within fourteen (14) days of a written request from TradeGuider Systems, the Student shall certify in writing to TradeGuider Systems that it has fully complied with its obligations under this Agreement.

In no event shall TradeGuider Systems be liable for any damages whatsoever, and in particular TradeGuider Systems shall not be liable for special, indirect, consequential, or incidental damages, or damages for lost profits, loss of revenue, or loss of use, arising out of or related to any TradeGuider Systems Training Course or the information contained in it, whether such damages arise in contract, negligence, tort, under statute, in equity, at law or otherwise.
